Terms of Service

1. Overview

Breaks provides a platform for organizations and individuals to manage trading card and sports memorabilia breaks, inventory, hit lists, product catalogs, and related member activity. This service may be used by organizations to create breaks, assign spots, track inventory, manage templates, and maintain product records for member participation.

These Terms of Service govern your use of the Breaks website and related platform services. By creating an account, joining an organization, or otherwise using the service, you agree to these Terms.

2. Account Eligibility and Organization Access

You must be at least 18 years old or have the authority and legal capacity to bind yourself or your organization to these Terms. You are responsible for:

  • Providing accurate account information.
  • Maintaining the security of your login credentials.
  • Ensuring the information you submit is complete and lawful.
  • Not sharing your account or credentials with unauthorized third parties.

Organizations may grant different user roles and permissions, including admins, staff, and members. Any organization administrator is responsible for controlling access to that organization’s content, inventory, and break operations.

3. Service Scope

Breaks is intended to support break management workflows, including:

  • Creating and managing break events.
  • Tracking products, templates, and inventory.
  • Managing hit lists and card/product classification data.
  • Assigning slots, teams, or product allocations within a break.
  • Maintaining member or customer records for break participation.

Breaks does not guarantee a specific outcome, profit, product availability, or member satisfaction. Product availability, pricing, break results, and final allocation decisions are subject to the rules set by each organization and any applicable product or card supply constraints.

4. Break Rules, Products, and Outcomes

Each organization may establish its own rules for product selection, break format, spot assignments, pricing, winner determination, and fulfillment. Breaks may not be a marketplace for regulated, restricted, or unlawful items, and organizations remain responsible for ensuring compliance with all applicable laws and their own policies.

Users must not attempt to manipulate break results, alter inventory data, forge product entries, or misuse platform tools to gain unfair access or advantage. Any product, listing, or result shown in the platform is only as reliable as the data supplied by the organization managing that inventory or break.

5. Inventory, Product Data, and Hit Lists

Organizations may import, upload, or maintain inventory data, hit lists, product templates, and related records. You agree that:

  • Product descriptions, categories, and item entries are maintained by the organization that uploads or manages them.
  • Data accuracy, completeness, and legality are the responsibility of the organization using the platform.
  • Breaks may provide tools to import product information, but imported data may require review and validation before use.

If an organization or user provides inaccurate, incomplete, or misleading product information, that party remains responsible for the consequences of that information.

6. Fees, Payments, and Refunds

Breaks may be used by organizations to manage break participation and internal pricing structures. Unless otherwise disclosed in writing, Breaks itself is not a payment processor and does not guarantee that fees or charges will be collected through the platform.

If fees, deposits, or refunds are handled by an organization, a third-party payment provider, or another service provider, those fees and refund terms are governed by the separate terms and policies of that provider and the organization running the break. Breaks is not responsible for collecting, storing, or remitting funds unless specifically stated in a separate agreement.

Any refund or cancellation policy must be clearly communicated by the organization operating the break. If an organization or member disputes a fee or transaction, the parties should first attempt to resolve it directly through the governing organization and the transaction records available in the platform.

7. User Content and Intellectual Property

You retain ownership of content you submit, such as organization records, inventory data, product notes, hit list entries, and profile information. By using the platform, you grant Breaks a limited license to store, process, and display that content as needed to provide and improve the service.

You agree not to upload or share content that violates third-party rights, contains malware, is deceptive, or is otherwise unlawful. If an organization is providing content on behalf of a third party, that organization represents that it has the right to do so.

8. Prohibited Conduct

You agree not to:

  • Use the service for unlawful, fraudulent, deceptive, or abusive purposes.
  • Attempt to access another organization’s data without authorization.
  • Manipulate or tamper with product listings, spot assignments, inventories, or break results.
  • Use bots, scripts, or automated tools in a manner that interferes with operations or service integrity.
  • Upload malware, spam, or malicious content.
  • Engage in harassment, threats, or discriminatory conduct toward other users or organizations.

Breaks may suspend or terminate access to users or organizations that violate these rules, including without notice if necessary to protect the service, other users, or legal compliance.

9. Privacy and Data Handling

Breaks processes account, organization, and operational data to provide the service. Information may include names, email addresses, organization membership data, product records, and operational activity used to support break management.

Users are responsible for understanding what data they provide to their organization and any privacy obligations arising from that data use. If you are an administrator, you are responsible for managing access within your organization and ensuring compliance with applicable privacy obligations.

10. Service Availability and Modifications

Breaks aims to keep the service available and reliable, but access may be interrupted for maintenance, upgrades, technical issues, or circumstances outside our reasonable control. We may modify, suspend, or discontinue features or the service at any time, with or without notice, in order to improve functionality or address operational, legal, or security issues.

11. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.

Breaks does not guarantee that product data, break outcomes, or inventory records are error-free, complete, or current. Any reliance on platform information is at your own risk unless a specific written agreement says otherwise.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Breaks shall not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising out of or related to the service, including losses from break disputes, product inaccuracies, member disputes, or operational interruptions. Except where prohibited by law, Breaks’ total liability for any claim arising from the service is limited to the fees actually paid by the user or organization to Breaks for the relevant service, if any.

13. Indemnification

You agree to defend, indemnify, and hold harmless Breaks, its owners, affiliates, and personnel from any claims, damages, liabilities, and expenses arising from your use of the service, your organization’s break operations, your uploaded content, or your violation of these Terms.

14. Termination

Breaks may suspend or terminate access to the service if you violate these Terms, fail to maintain account security, engage in fraudulent activity, or create material risk to other users or the integrity of the platform. Upon termination, your access to the service may be disabled, and certain data may become unavailable or deleted according to applicable policy and system procedures.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where the operator of the service is established, without regard to conflict-of-law principles. Any dispute arising out of or relating to the service should first be addressed through direct communication between the parties. If a resolution cannot be reached, the dispute may be brought in the competent courts of the applicable jurisdiction.

16. Changes to These Terms

Breaks may update these Terms from time to time to reflect changes in the service, legal requirements, or operational needs. Continued use of the site after any material update constitutes acceptance of the revised Terms.
